About Bruno P. Allaire

Bruno P. Allaire earned his MBA from Harvard Business School in 2000 and, in the twenty-five years since, has rarely been far from the finance seat of the companies he has run. He has served as Chief Financial Officer or in a dual CEO/CFO capacity at more than half of the companies on his record, including as Interim CFO of a publicly traded oil and gas company, where he rebuilt the accounting infrastructure well enough to prepare and file SEC Forms 10-K, 10-Q, 8-K, and Form D, and to close an $11 million acquisition. Operating Experience

Twenty-Five Years of Running the Company the Next Day

A finance background only matters if someone also has to run the business. Bruno has done both. As President & CEO of Veritas Energy Management, he managed day-to-day exploration and production operations across the Gulf Coast while also serving as the company's CFO. As Vice-Chairman and CFO of Global Distillers & Vintners Holdings, he led the acquisition and financial integration of five wine and spirits businesses into one vertically integrated group, and did it while raising $2.3 million in institutional debt and equity financing at the bottom of the 2008–09 financial crisis. As CEO and Interim CFO of Foothills Exploration, Inc., he governed day-to-day operations across ten subsidiaries, from field operations to investor relations, for nearly a decade.

Building From Zero, Eleven Times

Bruno's record includes eleven founder or co-founder roles. His first chapter, in wine and spirits, produced four of them: Fiume Wines, a national import business for organic Italian and French wines built from a standing start to seven distributors and $1 million in annual sales; EcoWineFest, which he created and executive produced; Dynamic Imports Corp., which grew to $750,000 in annual sales in under three years and secured exclusive distribution contracts with wholesalers including Southern Wine & Spirits of Nevada; and Global Distillers & Vintners Holdings, which he co-founded and led as Vice-Chairman and CFO through a five-company roll-up. He has since co-founded two hydrogen-energy ventures, Pristine Energy and HydraThermal Energy, and a health-technology company, Guiltless To Go, where he serves as CFO. Since 2024 he has co-founded Defiant International, a holding company he has built into five distinct operating divisions spanning energy, technology, entertainment, real estate, and advisory services, and founded Defiant Consulting, Defiant Power Solutions, and Defiant Midstream Acquisition Corp., the Permian Basin water venture whose formation is imminent.

Transactions & Capital Formation

Closing the Transaction, Not Just Advising on It

Bruno's Managing Partner years at Versailles Capital Partners (2007–2012) involved advising mining and oil and gas clients, including Crimson Energy and Piedmont Mining Company, on capital-acquisition strategy, and counseling on oil and gas concessions in Eastern Nicaragua and a reclamation project with the State of Louisiana. In 2016, he led the reverse merger that formed Foothills Exploration, Inc. from Key Link Assets Corp., followed by an $11 million acquisition of producing oil and gas assets in Utah's Uinta Basin. That advisory-to-transaction range, counsel on one end and closing on the other, is what he brings to Defiant Consulting's clients today.

What He's Building Now

As Co-Founder, CEO and Director of Defiant International, Bruno leads a hybrid venture capital and private equity firm applying blockchain-based finance, including real-world-asset tokenization, to traditional industries. As Founder and CEO of Defiant Power Solutions, he is bringing that same capital discipline to a specific, current infrastructure need: modular, fast-deployment natural-gas power generation, online in as little as 72 hours, for AI data centers, oil and gas operations, and industrial and commercial sites facing utility interconnection queues that now stretch five to seven years in major U.S. markets. Through Defiant Midstream Acquisition Corp., the Permian Basin water venture he is now forming, he is extending that same discipline to the other resource the AI buildout consumes by the millions of gallons: water. The Permian Basin lifts far more water than oil, roughly three to four barrels of produced water for every barrel of crude, and the region's disposal infrastructure is straining under that volume at the same moment Texas data centers are competing with towns, farms, and power plants for fresh water. The plan is to acquire and permit saltwater-disposal capacity in the basin, recycle that produced water to a reusable standard, and supply it to nearby AI data centers for cooling, so the computing buildout runs on water that already came out of the ground rather than the community's drinking-water supply. From its first operating year, the company is being built to independent annual audits and an annual report to investors, the same reporting discipline he carried out of his public-company years. As Founder and Managing Partner of Defiant Consulting, he advises owners of real estate, oil and gas assets, and cash-flowing businesses on accessing capital through compliant, partial tokenization, without selling outright or losing control. His energy-sector experience across this work spans the US Rockies (Wyoming, Utah's Uinta Basin), the Gulf Coast (Louisiana), and Texas (Permian Basin and South Texas).
